1. Acceptance of Terms

By accessing or using any services, applications, or platforms provided by Indi Technology and Consulting Pty Ltd (“Inditech”, “we”, “us”, or “our”), you (“you”, “the user”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use our services.

These Terms apply to all users of Inditech’s services, including but not limited to clients, end users, and any person who accesses our applications or platforms.

2. Description of Services

Inditech provides managed information technology services, including but not limited to:

• Microsoft 365 administration and management
• Identity and access management (Microsoft Entra ID)
• Endpoint and device management (Microsoft Intune)
• Email and collaboration platform management (Exchange Online, SharePoint Online, Microsoft Teams)
• Security and compliance services (Microsoft Defender, Microsoft Purview)
• IT support and helpdesk services
• Custom applications and integrations built on the Microsoft platform

The specific scope of services provided to any client is governed by the applicable Managed Services Agreement (MSA) or other written agreement between Inditech and the client.

3. User Obligations

You agree to:

• Use our services only for lawful purposes and in accordance with these Terms.
• Provide accurate and complete information when required.
• Maintain the confidentiality of any credentials or access provided to you.
• Notify Inditech promptly of any unauthorised use of your account or any other breach of security.
• Comply with all applicable laws, regulations, and any policies communicated by Inditech.

You must not:

• Use our services in any way that could damage, disable, or impair the services or interfere with any other party’s use.
• Attempt to gain unauthorised access to any systems, networks, or data.
• Reverse engineer, decompile, or disassemble any software or technology provided by Inditech.
• Use our services to transmit any harmful, offensive, or unlawful content.

4. Intellectual Property

All intellectual property rights in and to the services, including but not limited to software, documentation, processes, methodologies, and branding, remain the exclusive property of Inditech unless otherwise agreed in writing.

You are granted a limited, non-exclusive, non-transferable licence to use our services for the duration of your engagement with Inditech, subject to these Terms and any applicable agreement.

5. Limitation of Liability

To the maximum extent permitted by law:

• Inditech’s total liability arising out of or in connection with the services is limited to the fees paid by you to Inditech in the twelve (12) months preceding the event giving rise to the claim.
• Inditech is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill.
• Inditech does not warrant that the services will be uninterrupted, error-free, or free from vulnerabilities.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including the Australian Consumer Law.

6. Privacy

Inditech is committed to protecting your privacy. Our collection, use, and disclosure of personal information is governed by our Privacy Policy and the Australian Privacy Act 1988 (Cth).

By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

7. Termination

Inditech may suspend or terminate your access to the services at any time if:

• You breach any provision of these Terms.
• Required by law or regulatory authority.
• Continued provision of the services is no longer commercially viable.

Upon termination, your right to use the services ceases immediately. Any provisions of these Terms that by their nature should survive termination will continue to apply, including but not limited to intellectual property, limitation of liability, and governing law.

8. Changes to These Terms

Inditech reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised “Last updated” date. Your continued use of the services after any changes constitutes acceptance of the updated Terms.

We encourage you to review these Terms periodically.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia. You agree to submit to the exclusive jurisdiction of the courts of Victoria for the resolution of any disputes arising out of or in connection with these Terms.
